above results have been approved by the Board at its meeting
held on 7th May, 2004. |

The
consolidated financial results relate to 'Graphite India
Limited (the parent Company), and 'Carbon Finance Limited'
which is wholly owned subsidiary of Graphite India Limited. |

Generation
of power at hydro electrical plants is seasonal in nature. |
| 4. |
Other
income includes receipts of rebates on prepayment of certain
loans amounting to Rs.52 Lakh and Rs.514 Lakh (net of
prepayment premium) for the quarter and the year ended
31st March, 2004 respectively. |

The
Board has recommended dividend @ Rs.4 per equity share
of Rs.10/- each. |
| 6. |
No
investor complaint was pending at the beginning of the
quarter ended 31st March, 2004. During the quarter, six
complaints were received. All the complaints were disposed
off and there were no complaints pending as of 31st March,
2004. |

for the previous year have been re-grouped / re-arranged
where necessary. |
